As part of our Shared Services group, comprised of Finance, Marketing, Communications, Human Resources, Commercial, Legal and Facilities, we support the business achieve their goals through a range of strong technical capabilities. We ensure delivery of services through the skills of our people, methodologies, and systems.
Hatch is looking for a dynamic Commercial Director to join our Global Commercial, Contracts and Corporate Legal Services (CCL) team in Essen, Germany. The successful candidate will be expected to support Hatch’s commercial and contractual needs as required. In this role, the successful candidate will be providing direct support to the project teams from inception of the opportunity to completion thereof. You will have an opportunity to contribute to sales strategies developed by our Sales and Commercial leaders and support our peers in pursuit of our global client engagements. As the successful candidate, you will:
Develop client and project commercial and contracting strategies including:
- The review, evaluation and assessment of potential commercial risks with the project.
- Preparation and presentation of risk reviews, evaluations and assessments for projects.
- Participation in the Business Planning Sessions, Marketing and relevant Strategy meetings and workshops.
Develop contracting strategies that support new / existing product development including:
- The definition of the commercial strategies needed to deliver on the product development business case.
- Defining the commercial agreement structures with clients and partners to execute the defined strategies.
- Preparation and presentation of commercial terms risks reviews in line with the product development plan.
Preparation, write, review, negotiation and administer:
- NDAs, Proposals, MOUs, and LOIs, contracts, fixed price/lump sum-based contracts, fee and expense reimbursable contracts, turnkey EPC contracts, EPCM contracts, master services agreements and master supply agreements,
- JV and sales coordination agreements, consortium/collaboration agreements, managed services agreements, confidentiality agreements, technology licensing agreements, and industrial equipment leasing agreements with prospective clients, current Hatch clients, development partners, as well as sales and marketing channel partners.
Other duties include:
- Prepare, administrator and manage secondary contractual documents such as performance guarantees, letters of credit, documentary credits.
- Coordinating with the Project, Operations, Legal, Risk Management, Tax, Accounting, and Finance departments to ensure that the potential transactions and agreements outlined above comply with corporate mandates and policies and client requirements.
- Manage and coordinate commercial activities relating to the implementation of new clients, vendors and/or new projects.
- Coordinate with the Project Controls personnel assigned to each client in tracking the commercial elements of projects.
- Conduct contract reviews with our Project, Operations, and Engineering teams to ensure contract deliverables compliance.
- Delivering and executing the commercial contract requirements and adhering and advocating corporate mandates and policies.
You bring to the role:
- Degree in Commerce or a Legal-related field
- Minimum of 15, preferably 20 years of commercial, and/or contractual management experience, within the Engineering sector
- Strong business acumen with an understanding of the link between business needs and IT operations
- Experience with crafting product collaboration and / or development agreements with partners.
- Experience with crafting channel marketing and channel sales agreements with market engagement partners
- Strong understanding of new and existing product development cycles and how commercial strategy definition fits within them including defining initial contractual agreements to support them
- Strong understanding of contracts and the principles of drafting commercial and/or contractual documents
- Strong understanding of private and public procurement protocols and practices, incoterms, and financial instruments to support commercial transactions
- Strong understanding of technology development and technology commercialization.
- Negotiation experience (sales side) on contractual and commercial/pricing terms.
- Excellent communication, presentation and interpersonal skills, strong business acumen and leadership potential.
- Dynamic team player and effective team leadership skills with high level of accountability.
